Este contrato (el «Contrato») se celebra entre tú y Sofía Nungaray, persona física con nombre comercial «Perxal», con domicilio en Antonio Arias Bernal 135, 20000 Aguascalientes, Aguascalientes, México, RFC NUGA9112243K3 («Perxal», «nosotros»). Cubre el plugin de audio Planes, sus manuales, su archivo de licencia y las actualizaciones que pongamos a tu disposición (en conjunto, el «Software»).This agreement ("Agreement") is between you and Sofía Nungaray, an individual trading as "Perxal", of Antonio Arias Bernal 135, 20000 Aguascalientes, Aguascalientes, Mexico, tax identification (RFC) NUGA9112243K3 ("Perxal", "we", "us"). It covers the Planes audio plug-in, its manuals, its license file and any updates we make available (together, the "Software").

Al instalar, activar o usar el Software aceptas este Contrato. Si no lo aceptas, no instales el Software; para reembolsos, ve la cláusula 12.By installing, activating or using the Software you accept this Agreement. If you do not accept it, do not install the Software, and see Section 12 for refunds.

1. Licencia que se otorga, y lo que sigue siendo nuestro1. License granted, and what stays ours

El Software se licencia, no se vende. Pagado el precio íntegro, Perxal te otorga una licencia personal, limitada, no exclusiva, no sublicenciable y no transferible para instalar y usar el Software en trabajo de audio personal y comercial.The Software is licensed, not sold. On payment in full, Perxal grants you a personal, limited, non-exclusive, non-sublicensable and non-transferable license to install and use the Software for personal and commercial audio work.

Comprar una licencia no transfiere la propiedad de nada. Toda la propiedad intelectual del Software sigue siendo de Perxal o de sus licenciantes: los derechos de autor, el código fuente, los algoritmos, la interfaz y sus diseños, las marcas, los nombres «Planes» y «Perxal», los gráficos, la documentación y toda versión futura. Adquieres el derecho a usar el Software conforme a este Contrato, y nada más.Buying a license transfers no ownership of anything. All intellectual property in the Software stays with Perxal or its licensors: the copyright, the source code, the algorithms, the user interface and its designs, the trademarks, the names "Planes" and "Perxal", the graphics, the documentation and every future version. You acquire the right to use the Software under this Agreement, and nothing else.

Puedes instalarlo y usarlo en hasta dos (2) computadoras de tu propiedad o bajo tu control, siempre que seas la única persona que usa esas instalaciones. El archivo de licencia puede emitirse atado a una computadora concreta; si cambias o reinstalas una, escribe a support@perxal.com y lo reemitimos.You may install and use the Software on up to two (2) computers that you own or control, provided you are the only person using those installations. A license file may be issued bound to a specific computer; if you replace or reinstall a computer, write to support@perxal.com and we will reissue it.

2. Qué puedes hacer con tu trabajo2. What you may do with your work

Lo que quieras. El audio, la música, el sonido y los medios que produzcas con el Software son tuyos. No nos debes regalía, cuota, crédito ni atribución por ellos, y este Contrato no pone ninguna restricción a cómo los licencies, distribuyas o vendas.Anything. Audio, music, sound and media you produce using the Software are yours. You owe Perxal no royalty, fee, credit or attribution for them, and this Agreement places no restriction on how you license, distribute or sell them.

3. Tu archivo de licencia3. Your license file

Tu archivo de licencia (.lic) se emite a tu nombre, te identifica por nombre y correo electrónico, y puede contener un identificador derivado de tu computadora. Guárdalo en privado. Compartirlo, publicarlo o permitir que otros lo usen es un incumplimiento grave y termina esta licencia conforme a la cláusula 10.Your license file (.lic) is issued to you, identifies you by name and email address, and may contain an identifier derived from your computer. Keep it private. Sharing it, publishing it or allowing others to use it is a material breach and ends this license under Section 10.

4. Restricciones4. Restrictions

No puedes:You may not:

• copiar el Software, salvo copias de respaldo razonables;copy the Software, except for reasonable backup copies;
• rentarlo, arrendarlo, prestarlo, venderlo, redistribuirlo ni sublicenciarlo, ni ponerlo a disposición de terceros por una red;rent, lease, lend, sell, redistribute or sublicense it, or make it available to third parties over a network;
• modificarlo, traducirlo, adaptarlo, descompilarlo, desensamblarlo ni aplicarle ingeniería inversa, ni intentar obtener su código fuente, salvo en la medida en que esta restricción sea nula conforme a la ley que te aplique, incluidos, cuando proceda, los derechos de interoperabilidad de la Directiva 2009/24/CE;modify, translate, adapt, decompile, disassemble or reverse-engineer it, or attempt to derive its source code — except to the extent this restriction is void under law that applies to you, including, where applicable, interoperability rights under Directive 2009/24/EC;
• quitar, desactivar, eludir ni manipular su mecanismo de licenciamiento, ni usarlo con un archivo de licencia que no hayas obtenido lícitamente de Perxal;remove, disable, circumvent or tamper with its licensing mechanism, or use it with a license file you did not obtain lawfully from Perxal;
• usarlo de cualquier forma que infrinja la legislación de control de exportaciones o de sanciones que resulte aplicable.use it in any way that breaches applicable export control or sanctions law.

5. Transferencia5. Transfer

La licencia no es transferible. No puedes vender, ceder, transferir, sublicenciar, rentar, prestar ni poner de cualquier otro modo la licencia a disposición de un tercero, total ni parcialmente, sin autorización previa y por escrito de Perxal, que se solicita en support@perxal.com.The license is not transferable. You may not sell, assign, transfer, sublicense, rent, lend or otherwise make the license available to any third party, in whole or in part, without Perxal’s prior written authorisation, requested at support@perxal.com.

Cuando Perxal autorice una transferencia, ésta es definitiva y total: desde ese momento debes dejar de usar el Software y borrar todas sus copias, y el nuevo titular ocupa tu lugar en este Contrato. Perxal reemite el archivo de licencia al nuevo titular sin cobrar por ello.Where Perxal does authorise a transfer, it is permanent and in whole: from the transfer you must stop using the Software and delete every copy of it, and the new holder takes your place under this Agreement. Perxal reissues the license file to the new holder and does not charge for doing so.

Partir una licencia, rentarla, compartirla o usarla por turnos nunca es una transferencia y no se permite en ningún caso.Splitting a license, renting it out, sharing it or using it in turns is never a transfer and is not permitted in any case.

6. Actualizaciones y soporte6. Updates and support

Perxal puede poner a disposición actualizaciones dentro de la versión 1.x sin costo adicional. Una versión mayor futura (2.0 o posterior) puede ser un producto de pago aparte. Nada en este Contrato obliga a Perxal a publicar una actualización, corrección o función determinada, ni a seguir dando soporte a un sistema operativo, anfitrión o formato de plugin concretos.Perxal may make updates available within version 1.x at no additional cost. A future major version (2.0 or later) may be a separate paid product. Nothing in this Agreement obliges Perxal to release any particular update, fix or feature, or to keep supporting any particular operating system, host application or plug-in format.

El soporte se da por correo en support@perxal.com, en español o inglés, mientras la versión 1.x esté a la venta y durante al menos 12 meses desde tu compra.Support is by email at support@perxal.com, in English or Spanish, for as long as version 1.x is on sale and for at least 12 months after your purchase.

7. La medición no garantiza el cumplimiento7. Measurements are not a guarantee of compliance

Planes mide sonoridad y pico verdadero siguiendo EBU R128 / ITU-R BS.1770, e informa lo que mide. Esas lecturas dependen de tu sesión, de tu ruteo, del anfitrión y del audio que le entregues.Planes measures loudness and true peak following EBU R128 / ITU-R BS.1770 and reports what it measures. Those readings depend on your session, your routing, the host application and the audio you feed it.

Las lecturas ayudan a tu criterio; no son un certificado de cumplimiento. Sigue siendo tu responsabilidad verificar que lo que entregues cumpla la especificación que te exija tu emisora, plataforma o cliente. Perxal no garantiza que un material medido con el Software vaya a ser aceptado por un tercero.The readings assist your judgement; they are not a certificate of compliance. You remain responsible for verifying that anything you deliver meets the specification required of it by your broadcaster, platform or client. Perxal does not warrant that material measured with the Software will be accepted by any third party.

8. Sin garantías8. No warranty

En la máxima medida que permita la ley, el Software se proporciona «tal cual» y «según disponibilidad», sin garantía de ningún tipo, expresa, implícita o legal, incluidas las garantías implícitas de comerciabilidad, calidad satisfactoria, idoneidad para un fin determinado, exactitud y no infracción. Perxal no garantiza que el Software funcione sin interrupciones ni errores, ni que sea compatible con un anfitrión, una versión de sistema operativo o un hardware concretos.To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranty of any kind, express, implied or statutory, including the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy and non-infringement. Perxal does not warrant that the Software will be uninterrupted, error-free, or compatible with any particular host application, operating system version or hardware.

A esta cláusula le aplica la 11: si eres consumidor, nada de lo anterior elimina las garantías que la ley te da y que no puedes renunciar.Section 11 applies to this Section: if you are a consumer, nothing here removes warranties the law gives you and does not let you waive.

9. Limitación de responsabilidad9. Limitation of liability

En la máxima medida que permita la ley:To the maximum extent permitted by law:

• Perxal no responde por daños indirectos, incidentales, especiales, punitivos ni consecuenciales, ni por lucro cesante, pérdida de ingresos, de negocio, de oportunidad, de reputación, de datos, de grabaciones, de sesiones o de proyectos, cualquiera que sea su causa, aun habiendo sido advertida de esa posibilidad;Perxal is not liable for indirect, incidental, special, punitive or consequential damages, nor for loss of profit, revenue, business, opportunity, goodwill, data, recordings, sessions or projects, however caused, even if Perxal was advised of the possibility;
• la responsabilidad total y agregada de Perxal derivada de este Contrato o relacionada con él, por cualquier concepto, se limita al importe que hayas pagado efectivamente por la licencia en los doce meses anteriores al hecho que origine la reclamación;Perxal’s total aggregate liability under or in connection with this Agreement, on any basis, is limited to the amount you actually paid for the license in the twelve months before the event giving rise to the claim;
• nada en este Contrato limita ni excluye la responsabilidad por muerte o daño personal causados por negligencia, por dolo o declaración fraudulenta, ni por cualquier otro supuesto que la ley no permita limitar ni excluir.nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

Respalda tu trabajo. El software de producción de audio corre dentro de un anfitrión que no nos compraste, y Perxal no puede responder por el trabajo que se pierda en ese entorno.Back up your work. Audio production software runs inside a host you did not buy from us, and Perxal cannot be responsible for work lost in that environment.

10. Vigencia y terminación10. Term and termination

Este Contrato inicia cuando instalas o activas el Software por primera vez y dura hasta que termine.This Agreement starts when you first install or activate the Software and lasts until terminated.

Termina automáticamente si lo incumples de forma grave, en particular las cláusulas 3, 4 o 5. Perxal también puede darlo por terminado si tu compra se reembolsa, y puede suspenderlo o terminarlo si inicias una disputa de pago, según la política de reembolsos. Al terminar, tu licencia se extingue y debes dejar de usar el Software y eliminar las copias instaladas y los archivos de licencia que estén bajo tu control razonable; no se te pide rebuscar en respaldos archivados. Cuando sea técnicamente posible, Perxal podrá además desactivar o revocar la licencia y sus activaciones. Las cláusulas 2, 7, 8, 9, 13 y 14 sobreviven a la terminación.It terminates automatically if you materially breach it, in particular Sections 3, 4 or 5. Perxal may also terminate it if your purchase is refunded, and may suspend or terminate it if you start a payment dispute, as set out in the refund policy. On termination your license ends and you must stop using the Software and delete the installed copies and license files under your reasonable control; you are not asked to hunt through archived backups. Where it is technically possible, Perxal may also deactivate or revoke the license and its activations. Sections 2, 7, 8, 9, 13 and 14 survive termination.

11. Tus derechos como consumidor11. Your rights as a consumer

Si compras como consumidor y no para tu negocio, tienes derechos conforme a la legislación de consumo de tu país de residencia que este Contrato no puede quitarte, y nada aquí los limita, incluidos los límites de responsabilidad de la cláusula 9, que sólo aplican hasta donde esa legislación lo permita. Donde este Contrato te dé más de lo que la ley exige, te quedas con lo mejor de los dos.If you buy as a consumer rather than for your business, you have rights under the consumer law of your country of residence that this Agreement cannot take away, and nothing here limits them — including the limits of liability in Section 9, which apply only as far as that law allows. Where this Agreement gives you more than the law requires, you keep the better of the two.

Esto no te impide acudir a la autoridad de consumo de tu propio país, en México la Procuraduría Federal del Consumidor (PROFECO), diga lo que diga la cláusula 14 sobre tribunales.This does not stop you from complaining to the consumer authority of your own country, in Mexico the Procuraduría Federal del Consumidor (PROFECO), whatever Section 14 says about courts.

12. Precio, pago y reembolsos12. Price, payment and refunds

El Software se vende a través de nuestro comercio Lemon Squeezy Ltd, que actúa como comercio de registro, emite tu factura y gestiona los impuestos. Sus condiciones rigen la transacción en sí.The Software is sold through our reseller Lemon Squeezy Ltd, who is the merchant of record, issues your invoice and handles tax. Their terms apply to the transaction itself.

Los reembolsos se rigen por nuestra política de reembolsos, que forma parte de este Contrato y se resume así: una licencia puede reembolsarse dentro de los 14 días siguientes a la compra, solicitándolo en support@perxal.com. Con el reembolso, tu licencia termina conforme a la cláusula 10.Refunds are governed by our refund policy, which forms part of this Agreement and is summarised here: a license may be refunded within 14 days of purchase on request to support@perxal.com. On a refund your license terminates under Section 10.

Si eres consumidor en la Unión Europea o el Reino Unido, tienes derecho legal a desistir de la compra en 14 días. En contenido digital que no se entrega en soporte físico, ese derecho se extingue una vez iniciada la ejecución, pero sólo si diste tu consentimiento previo y expreso para que comenzara durante el plazo de desistimiento, reconociste que con ello perdías el derecho, y recibiste confirmación de ese acuerdo; ese consentimiento y ese reconocimiento se te piden en el checkout. El reembolso de 14 días de nuestra política se aplica de todos modos, hayas dado ese consentimiento o no, y siga en pie el derecho legal o no.If you are a consumer in the European Union or the United Kingdom, you have a statutory right to withdraw from the purchase within 14 days. For digital content not supplied on a physical medium, that right ends once supply has begun, but only where you gave express prior consent for supply to begin during the withdrawal period, acknowledged that you would thereby lose the right, and were given confirmation of that agreement; you are asked for that consent and acknowledgement at checkout. The 14-day refund in our refund policy applies regardless — whether or not you gave that consent, and whether or not the statutory right still stands.

13. Componentes de terceros y marcas13. Third-party components and trademarks

El Software incluye componentes de terceros, entre ellos el marco iPlug2, libebur128, Skia y las tipografías IBM Plex y Roboto, cada uno bajo su propia licencia. Los avisos y textos completos están en el archivo THIRD-PARTY-LICENSES.txt, que se entrega con el Software, y nada en este Contrato limita los derechos que esas licencias te dan sobre esos componentes.The Software includes third-party components, including the iPlug2 framework, libebur128, Skia, and the IBM Plex and Roboto typefaces, each under its own license. The complete notices and license texts are in the file THIRD-PARTY-LICENSES.txt, delivered with the Software, and nothing in this Agreement limits the rights those licenses give you in those components.

14. Ley aplicable y controversias14. Governing law and disputes

Este Contrato se rige por la ley de los Estados Unidos Mexicanos, con exclusión de sus normas de conflicto de leyes y de la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías. Son competentes los tribunales de la Ciudad de México.This Agreement is governed by the law of the United Mexican States, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The competent courts of Mexico City have jurisdiction.

Si eres consumidor con residencia en otro lugar, lo anterior no te priva de la protección de las normas imperativas de tu país de residencia, ni del derecho a demandar allí cuando esas normas así lo dispongan.If you are a consumer resident elsewhere, this does not deprive you of the protection of the mandatory law of your country of residence, nor of the right to bring proceedings there where that law so provides.

15. Disposiciones generales15. General

Acuerdo íntegro. Este Contrato, junto con la política de reembolsos y el aviso de privacidad a los que remite, constituye el acuerdo completo entre tú y Perxal respecto del Software, y sustituye cualquier declaración, descripción o publicidad anterior.Entire agreement. This Agreement, with the refund policy and privacy notice it refers to, is the whole agreement between you and Perxal about the Software, and replaces any earlier statement, description or advertisement.

Cambios. Perxal puede publicar un contrato revisado para versiones futuras o compras futuras. La versión que aceptaste rige la licencia que compraste; no la cambiaremos retroactivamente en tu perjuicio.Changes. Perxal may publish a revised agreement for future versions or future purchases. The version you accepted governs the license you bought; we will not change it retroactively to your detriment.

Divisibilidad. Si una disposición se declara inejecutable, se limitará al mínimo necesario, o se tendrá por no puesta, y el resto seguirá en vigor.Severability. If a provision is held unenforceable, it is limited to the minimum extent necessary, or struck, and the rest stays in force.

No renuncia. No exigir el cumplimiento de una disposición no implica renunciar a ella.No waiver. A failure to enforce a provision is not a waiver of it.

Cesión. No puedes ceder este Contrato salvo conforme a la cláusula 5. Perxal puede cederlo en el marco de una fusión, adquisición o venta de activos, previo aviso, sin reducir tus derechos.Assignment. You may not assign this Agreement except under Section 5. Perxal may assign it as part of a merger, acquisition or sale of assets, on notice, without reducing your rights.

Idioma. Este Contrato está redactado en inglés, que es la versión vinculante. Cualquier traducción se ofrece sólo por comodidad.Language. This Agreement is written in English, which is the binding version. Any translation is provided for convenience only.
